These Terms constitute a binding agreement between you and VTION (defined below) governing your use of our Platforms.
The Platforms are provided by Vidhi Techinnovation Opportunities Network Private Limited (hereinafter, “Company” “VTION” or “our” or “we” or “us”), a company incorporated under the Companies Act 2013, having its registered office at The IVY, B 003, Sushant Lok-1, Block – A, Gurgaon, Haryana 122009.
If there is a conflict between the Terms and terms of use posted for a specific area of the Website and/or the Applications, the latter shall have precedence with respect to your use of that area of the Website and/or the Applications.
You are requested to read the Terms carefully before you use our Platforms.
If you do not agree to these Terms, you must not use our Platforms.
1.1. “Incentive” refers to reward offered on the sole discretion of VTION to User(s) for downloading, installing and registering the Applications and continuing to be a User.
1.2. “Member Account” shall mean the account created by the User by downloading, providing the requested permissions and registering on the Applications. The Member Account shall be maintained by VTION.
1.3. “Panellists” means the users of VTION Digital Application that voluntarily onboard themselves on the VTION Digital Application to provide their Personal Data for behavioural analysis in exchange for rewards like digital wallet cashbacks and other benefits.
1.4. “Personal Data” means any data about an individual who is identifiable by or in relation to such data.
1.5. “Third Parties” means and includes third-party vendors and/or third party processors engaged by VTION during the course of its business and/or, website visitors.
1.6. “User(s)” or “You” or “Your” is any person registering on or using the Platforms.
1.7. “Usage Data” refers to the duration of usage and details of usage of relevant applications that are installed in the User’s phone.

We amend these Terms from time to time. We request you to please check these Terms periodically to ensure you understand the Terms that apply to your use of our Platforms, at that time.
Our Platforms are made available free of charge.
We do not guarantee that our Platforms, or any content on it, will always be available or be uninterrupted. We may suspend or withdraw or restrict the availability of all or any part of our Platforms for business and operational reasons. We will try to give you reasonable notice of any suspension or withdrawal.

5.2. VTION’s Access is restricted to individuals who are at least 18 years of age. VTION does not knowingly collect or process Personal Data of children. However, if such data is inadvertently collected, it will be subject to deletion immediately.
6.2. You may print one copy, and may download extracts, of any page(s) from our Platforms for your personal use.
6.3. You must not modify the paper or digital copies of any materials you have printed or downloaded in any way, and you must not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text.
6.4. Our status as the authors of content on our Platforms must always be acknowledged.
6.5. You must not use any part of the content on our Platforms for commercial purposes without obtaining a license to do so from us.
6.6. If you print, copy or download any part of our Platforms in breach of these Terms, your right to use our Platforms will cease immediately and you must, at our option, return or destroy any copies of the materials you have made.
6.7. When creating a Member Account or providing information to VTION as a Panellist, you must refrain from disclosing any confidential or proprietary information of third parties or submitting any material for which you do not possess the necessary and applicable rights under the law.
6.8. You must not fabricate a false identity when using the Platforms or engaging with any representative of VTION.
6.9. You are responsible for ensuring that any Personal Data you provide to VTION is correct, accurate, and kept up to date.
6.10. You must not use the Platforms in any manner that could damage, disable, overburden, or impair any of our servers, or the network(s) connected to any of our server, or interfere with any other party’s use and enjoyment of any services associated with the Platforms.
6.11. You must not attempt to reverse engineer, de-encrypt, or otherwise derive the design, internal logic, structure or inner workings (including algorithms and source code) of the Platforms, any other software, products, models, prototypes, or other items provided by us.
6.12. You agree that You shall not use any deep link, robot, spider or other automatic device or methodology, or any similar or equivalent manual process, to access, acquire, download, copy or monitor the Platforms or any part thereof, or obtain any content through means not specifically made available through the Platforms.
7.2. All incentives awarded to you will be credited to the rewards section of your Member Account.
7.3. Third party intermediaries may also offer incentives, which you can claim as specified by terms and conditions provided by them.
7.4. You may receive rewards for milestone achievements, such as installing the Application, allowing VTION to analyze your media and application usage behavior for research purposes, or sustained usage of the Application over time.
7.5. VTION may incentivize your participation in surveys related to research or application development. Your honest and comprehensive responses to these surveys will be rewarded, provided you comply with the terms of these Terms.
7.6. VTION may terminate or cease offering incentives or rewards provided in this clause in its sole discretion at any time without prior notice.
Our Platforms are directed to people residing in India. We do not represent that content available on or through our Platforms is appropriate for use or available in other locations.
Our Platforms contains proprietary notices and copyright information that must be respected. VTION grants you a non-exclusive, non-transferable, limited copyright license to access and display our Platforms and the materials therein, subject to compliance with these Terms and the preservation of all copyright, trademark, and other proprietary notices. You agree not to disrupt or attempt to disrupt the operation of the Website and/or Applications in any way.
You are prohibited from modifying, copying, distributing, transmitting, displaying, performing, reproducing, publishing, licensing, creating derivative works, transferring, or selling any information, software, products, or services obtained from our Platforns, except as permitted in these Terms. VTION does not grant you any express or implied rights or licenses under any patents, trademarks, copyrights, or other proprietary or intellectual property rights, except as expressly provided herein.
You may not replicate any content from our Platforms on another website or in any other media. Failure to comply with these Terms or any other terms on our Platforms will result in the automatic termination of any rights and license granted to you, without prior notice, and you must promptly destroy all copies of downloaded materials in your possession, custody, or control.
We will provide you with a clear and plain language notice explaining what Personal Data we collect, why we collect it, and how it will be used, before seeking your consent.
You may withdraw your consent at any time through the same mechanism used to provide consent, ensuring that withdrawal is as simple as giving consent. Upon withdrawal, we will cease processing your Personal Data unless required by law.
The content on our Platforms is provided for general information only. It is not intended to amount to advice on which you should rely. You must obtain professional or specialist advice before taking, or refraining from, any action on the basis of the content on our Platforms.
Although we make reasonable efforts to update the information on our Platforms, we make no representations, warranties or guarantees, whether express or implied, that the content on our Platforms is accurate, complete or up to date.
If you choose, or you are provided with, a user identification code, password or any other piece of information as part of our security procedures, you must treat such information as confidential. You must not disclose it to any third party.
We have the right to disable any user identification code or password, whether chosen by you or allocated by us, at any time, if in our reasonable opinion you have failed to comply with any of the provisions of these Terms.
13.1. We do not guarantee that our Platforms will be secure or free from bugs or viruses.
13.2. You are responsible for configuring your information technology, computer programmes and Platforms to access our Platforms. You should use your own virus protection software.
13.3. You must not misuse our Platforms by knowingly introducing viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful. You must not attempt to gain unauthorised access to our Platforms, the server on which our Website is stored or any server, computer or database connected to our Platforms. You must not attack our Website via a denial-of-service attack or a distributed denial-of service attack. By breaching this provision, you would commit a criminal offence and we will report any such breach to the relevant law enforcement authorities. In the event of such a breach, your right to use our Platforms will cease immediately.

VTION ensures the security, confidentiality, and integrity of Personal Data through robust measures, including encryption at rest and in transit, strict access controls, comprehensive logging and audit trails, secure coding practices, regular vulnerability and penetration testing, a documented incident response plan, and employee confidentiality obligations supported by ongoing security
Our Platforms may provide access to information from third parties, such as articles, advertisements, news updates, or any other information. You understand and acknowledge that VTION neither creates nor endorses such third party content.
Where our Platforms contain links to other websites and resources provided by third parties, these links are provided for your information only. Such links should not be interpreted as approval by us of those linked websites or information you may obtain from them.
We have no control over the contents of those websites or resources.
Our Platforms, along with the information, materials, and software provided therein, are offered “as is” without any express or implied warranties, including but not limited to warranties of merchantability, non-infringement, or fitness for a particular purpose. Despite our best efforts, we cannot warrant that our Platforms will be free from computer viruses. We disclaim any responsibility for any damage to users’ computer systems or loss of data resulting from downloading any content or materials from our Platforms. We do not warrant that: (a) our Platforms will meet your requirements; (b) our Platforms will be available on an uninterrupted, timely, secure, or error-free basis; (c) the results obtained from using our Platforms or any services offered therein will be accurate or reliable.
We may transfer our rights and obligations under these terms to another organisation. We will always inform you if this happens and we will ensure that the transfer will not affect your rights under the Terms. Any assignment will not dilute the level of protection promised under these Terms and under the DPDP Act.
You agree to indemnify and hold harmless VTION, its officers, directors, employees, agents, or content or service providers, its subsidiaries and affiliates from any claim, cost, expense, judgment or other loss relating to your use, or misuse of the Website, Applications or any content thereon, including without limitation of the foregoing, any action you take which is in violation of the terms and conditions of these Terms and against any applicable laws. This provision shall survive any termination of your access to your Member Account at any point in time.
Please note that these Terms, their subject matter and their formation, are governed by Indian law. You and we both agree that the courts of Mumbai, India will have exclusive jurisdiction in case of any dispute.
These Terms constitute the entire agreement between VTION and you with respect to your use of the Platforms. Any claim you may have with respect to your use of the Platforms must be commenced within thirty (30) days of the cause of action.
21.1. Under no circumstances shall VTION, its directors, officers, employees, agents, or content or service providers (collectively, the “Protected Entities”), be liable to any party for any direct, indirect, special, incidental, consequential, exemplary, or punitive damages arising from, or directly or indirectly related to, the Platforms, including but not limited to issues related to the use or inability to use the Platforms, or the content, materials, and functions thereof. This also extends to the use of any linked sites or resources, or any claims stemming from errors, omissions, or inaccuracies in our Platforms. Further, this includes damages resulting from the use, download, or access to any materials, information, products, or services, such as lost profits, business interruption, lost savings, or loss of data, even if we are advised of the possibility of such damages.
21.2. The Protected Entities shall not be liable for:
No provision of these Terms shall be considered waived, and no breach excused, unless such waiver is provided in writing and signed by VTION. Any waiver by VTION of any breach by you, whether explicit or implied, shall not constitute consent to, or waiver of any other different or subsequent breach.
If any provision(s) of these Terms is held by a court of competent jurisdiction to be contrary to law, then such provision(s) shall be severed from these Terms and the remaining provisions of these Terms shall remain in full force and effect.
